Terms of service
Agreement
These Terms govern your use of Logio. By creating an account or otherwise using the service, you agree to these Terms on behalf of yourself and the business you represent. If you do not agree, do not use the service.
The service
Logio is an operations intelligence platform: connectors that sync data from your business systems, AI agents that read that data, a daily Briefing, operator-dictated Briefs, and delivered artifacts (Deliverables). The service is in private beta. Features and pricing may change before general availability.
Your account
You are responsible for keeping your credentials secure and for all activity under your account. Notify us at hello@uselogio.com if you suspect unauthorized access. Each account is for a single business; sharing credentials with people outside your organization is not allowed.
Your data, your authorization
- You own your tenant data — what you connect, what you author, what Logio derives. Logio processes that data on your authorization to provide the service. See the Privacy policy for the details.
- You authorize Logio to read from the connectors you connect, under the scopes you grant. Write-scoped credentials are only requested when an Action you approve requires them.
- Counsel drafts Actions; the operator approves and ships. Phase 2 of the product extends this so Counsel can carry out approved Actions itself; that capability will be opt-in per surface, with full reasoning trails and an instant undo.
Acceptable use
- Don’t connect data you don’t have rights to use.
- Don’t use the service to violate the law or someone else’s rights.
- Don’t attempt to break the service — penetration testing, DoS, scraping, reverse engineering — without our written permission.
- Don’t resell the service or build a competing product on top of our outputs.
- Don’t feed our outputs into a third-party model for training.
Beta service
Logio is in private beta. The service is provided on an as-is basis during the beta. We may change, remove, or pause features as we learn. We will give you reasonable notice before any change that materially reduces functionality you depend on.
Fees
Pricing is announced when public access opens. During the private beta, usage is provided at no charge unless we’ve agreed to a paid pilot in writing. When pricing is announced, we will give you 30 days notice and the option to discontinue use before any charge applies.
Intellectual property
We retain all rights to the Logio service, software, models, and brand. You retain all rights to your tenant data and to any Deliverables drafted on your data — those are yours to keep, modify, and use as you see fit.
Confidentiality
Both sides will protect the other’s non-public business information with reasonable care and use it only to operate or use the service.
Termination
You can stop using the service at any time by closing your account. We can suspend or terminate accounts that violate these Terms, with notice except where notice would create legal or security risk. On termination, we’ll export your tenant data on request and delete it on the schedule described in the Privacy policy.
Disclaimers
The service is provided “as is” without warranties of any kind, express or implied, to the maximum extent permitted by law. Counsel drafts recommendations on the data available; the operator is the decision-maker. We don’t guarantee a specific financial outcome from any drafted Action.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages. Each side’s aggregate liability for direct damages is limited to the fees paid (or the equivalent of one month of fees, if you’re on the free beta) in the twelve months preceding the claim.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws. Disputes are heard in the state and federal courts of Delaware, and both sides consent to jurisdiction there.
Changes
We may update these Terms as the product evolves. Material changes are announced in product and by email to the account owner before they take effect. Continued use after the effective date is acceptance.
